Steps for Governing Boards

  1. Grow the mission.

  2. Lead by policy according to the larger issues facing the organization; do not manage by personality.

  3. Require a policies and procedures document for governance.

  4. Develop a strategic plan.

  5. Develop measurable goals consistent with the strategic plan and mission.

  6. Establish a process for continual board member recruitment and board skill improvement.

  7. Insist on having only the number of committees absolutely necessary to governing the organization.

  8. Install an evaluation process for the board as a whole.

  9. Conduct an executive search based on the realities of a self-assessment and the needs of the organization.

  10. Communicate concerns before damage to the CEO - board relationship is irreparable.  Require that performance be the basis for all discussions related to the suitability executive management.  When performance is faulty, talk with management without hesitation.
